Terms and Conditions

These terms and conditions (the “Terms”) govern the relationship between elireyesmarketing (the “Agency”) and any client that engages the Agency to provide advertising services (the “Client”). By engaging the Agency to provide advertising services, the Client agrees to be bound by these Terms.
Services
The Agency will provide the Client with advertising services as specified in the Agency’s proposal to the Client (the “Services”). The Agency will use all reasonable skill and care in providing the Services.
Client’s Obligations
The Client must provide the Agency with all necessary information and materials required for the Agency to provide the Services. The Client must also comply with any instructions or guidelines provided by the Agency. The Client must also obtain all necessary permissions and consents in relation to the Services.
Fees and Payment
The Client will pay the Agency’s fees for the Services as specified in the Agency’s proposal to the Client. The Client must pay the Agency’s invoices within 15 days of the invoice date. If the Client does not pay the Agency’s invoices on time, the Agency may charge interest on the overdue amount at the rate of 5% per annum.
Intellectual Property
All intellectual property rights in any materials created by the Agency in providing the Services will belong to the Agency. The Client will have a non-exclusive, non-transferable license to use such materials for the purpose of promoting the Client’s business.
Confidentiality
The Agency and the Client will keep each other’s confidential information confidential and will not disclose it to any third party without the other’s prior written consent.
Limitation of Liability
The Agency will not be liable to the Client for any loss of profits or any indirect or consequential loss arising out of or in connection with these Terms or the provision of the Services. The Agency’s total liability to the Client for any other loss or damage arising out of or in connection with these Terms or the provision of the Services will not exceed the total fees paid by the Client to the Agency under these Terms.
Termination
Either party may terminate these Terms by giving the other party 30 days’ written notice.
Governing Law
These Terms will be governed by and construed in accordance with the laws of the State of Florida, USA.
Dispute Resolution
Any dispute arising out of or in connection with these Terms or the provision of the Services will be resolved by the administration.
Entire Agreement
These Terms constitute the entire agreement between the parties in relation to the Services and supersede all previous agreements, understandings, and arrangements between the parties in relation to the Services.
